| Summary | Given the dramatic development of emerging markets such as China and India, increasing attention has come to be focused on the comparative aspects of corporate governance and on the different legal regimes found in different parts of the world, and the increasing interest in corporate governance has re-opened old questions about the nature and goal of corporations, about the role and duties of corporate managers and about the interests in which corporations should be run.
This module will explore these debates by referring to the academic sources and real examples of business practices. This module aims to equip students with a critical understanding of the important themes in corporate governance and ethics. |

Learning Outcomes
On completion of this course, the student will be able to:
- On completion of the module, students should understand:
1. the role of corporate governance in firms where there is separation of ownership from control;
2. the importance of corporate governance in sustainable development.
3. A critical understanding of the relationship between various corporate governance regimes and different models of capitalist development
4. An understanding of different views of the nature and purpose of the public corporation, of the corporate share, and of corporate shareholding; - Intellectual Skills Having successfully completed this module, students will be able to:
1. Explain and critically analyse the legal, societal and governmental aspects of corporate governance;
2. understand the role of board structures in corporate governance;
3. evaluate whether executive compensation arrangements are properly used to mitigate the agency problem
4. understand the role of capital markets in aligning the interests of managers with shareholders;
5. compare Anglo-Saxon systems of corporate governance systems with those of Emerging Financial Markets such as China and India. - Personal development and subject specific skills Having successfully completed this module, students will be able to demonstrate:
1. presentation skills; (reflected in the group project presentation)
2. analytical and critical skills; (reflected in the exam)
3. interpersonal skills. (reflected in the exam)
