SummaryThe course covers business entities (with a focus on listed companies); corporate governance; sources of finance; listed company announcement obligations; insider dealing and market abuse; funding structures and deal structures including MBOs; Initial Public Offerings and takeovers.
Course description This course aims to develop your awareness of practical legal, commercial and tax considerations relating to listed companies (including corporate governance, Initial Public Offerings and Takeovers); Management Buyouts and funding structures for private companies. There will be an emphasis on commercial awareness, current developments and topical issues and proposed changes in these areas.

The objective of the course is to enhance your legal skills and knowledge in this area of the law. It is also aims to enhance and consolidate your knowledge, understanding and personal reflection on the Law Society of Scotland's PEAT 1 Mandatory and Core Outcomes, which you have already experienced and shall continue to experience on the Diploma core courses.

In particular, by the end of the elective, you should be confident that you will be able to:

- demonstrate knowledge of the regulatory framework within which business is conducted;
- understand the key features of incorporated entities, their structure and purpose;
- show awareness of legal personality and business structures;
- understand loan finance;
- analyse and understand a set of company accounts;
- understand the basic dynamics of group work and act as a group member; and
- select strategies to conduct a negotiation.

Feedback Feedback is provided to student in various forms. Students will receive verbal feedback from tutors on in-class presentations, general comments on class assignments when these are handed back in class and, in general, on class performance, mainly looking at the class as a whole. Students also receive specific written feedback on assignments, where necessary.

Additional Class Delivery Information The course consists of four lectures and seven workshops. Each lecture lasts 1 hour. Each workshop lasts either 2 or 3 hours depending on whether there is a lecture in that given week.

Students will have a total of 3 contact hours each week through lectures and/or workshops.
