Summary | ESG (environmental, social and governance) has become increasingly important due to a growing awareness of the impact of socially responsible business practices on long-term shareholder value. Governments and regulators are also promoting ESG by implementing policies and regulations that encourage companies to adopt sustainable practices. The pandemic has further highlighted the importance of ESG as the way companies respond to the crisis can have significant consequences for their stakeholders and society at large. This course will focus on the impact of ESG on shareholder value and investor protection. |
Course description |
The course introduces key theories and methodologies related to investor protection and ESG. It will then apply the theories to understand the critical issues faced by CEOs, boards, shareholders, legal institutions and others. In addition to listed companies, this course will also cover fintech markets and small companies from emerging markets. Examples of topics include the CEO pay gap, gender and ethnic diversity on boards, legal institutions and investor protection, among others. This module aims to provide students with a critical understanding of the important issues of investor protection and ESG.
Student Learning Experience
Students participate in an interactive learning experience through a combination of lectures, independent reading of academic papers and relevant news articles, and class discussions on relevant topics. The reading list and lecture notes provide guidance for students to deepen their understanding of the material.

Learning Outcomes
On completion of this course, the student will be able to:
- Understand and critically discuss the role of corporate governance in firms where there is separation of ownership from control.
- Understand and critically discuss the importance of corporate governance in sustainable development.
- Critically evaluate the relationship between various corporate governance regimes and different models of capitalist development.
- Understand and critically discuss different views of the nature and purpose of the public corporation and investor protection.
