Summary | To develop the practical legal, tax and commercial aspects relating to the formation, management and administration of private limited companies and alternative choices of business medium. To develop the practical skills in these areas by promoting and encouraging active participation by students in the preparation and provision of commercial, legal and tax advice and guidance to clients in the context of a variety of exercises covering the key commercial transactions and procedures typically undertaken by private limited companies and, where relevant, public limited companies and/or LLPs. |

Learning Outcomes
On completion of this course, the student will be able to:
- Mandatory outcomes: (a) an understanding of the importance of business ethics to market economies; (b) an understanding of the key features of incorporated and unincorporated entities, their structure and purpose, (including relevant tax features of these structures); (c) an awareness of legal personality and business structures; (d) an understanding of the key features of partnerships and limited liability partnerships as business structures (including relevant tax features of these structures); (e) an understanding of the key provisions of partnership agreements; (f) a knowledge of the regulatory and fiscal framework and the main features of the taxation system within which business is conducted; (g) an understanding of the purpose of the main areas of financial advice for companies and individuals.
