| Summary | The course focuses on the theory, law and practice of the governance of public corporations across different jurisdictions, with a particular emphasis on the Anglo-American model of corporate governance. Corporate governance regulates the relationships between various corporate constituencies (directors, officers, majority and minority shareholders, institutional investors, employees), with a view to establishing an adequate system of checks and balances that prevents any single corporate constituency from acquiring overriding power or influence. |
| Course description |
Topics covered in this course include:
- Law and culture as drivers of corporate governance
- The UK Corporate Governance Code and the UK Stewardship Code
- Gender diversity in the board of directors
- The role of independent non-executive directors, auditors and corporate lawyers as gatekeepers
- Shareholder activism and proxy advisors
This course is mandatory for the completion of the LLM in Corporate Law. The course is available to students from other LLM programmes, subject to place availability.

Learning Outcomes
On completion of this course, the student will be able to:
- Understand the main causes of conflicts between managers, shareholders and other stakeholders and the role of corporate governance in managing these conflicts;
- Evaluate the advantages and disadvantages of principle-based versus rule-base regulation of corporations;
- Analyse the emerging international standards in the area of corporate governance;
- Demonstrate developed and written oral skills, including the clear and succinct expression of ideas;
- Demonstrate ability to work effectively in a group.
