SummaryThe course focuses on the theory, law and practice of the governance of public corporations across different jurisdictions, with a particular emphasis on the Anglo-American model of corporate governance. Corporate governance regulates the relationships between various corporate constituencies (directors, officers, majority and minority shareholders, employees) with a view to establishing an adequate system of checks and balances that prevents any single corporate constituency from acquiring overriding power or influence.

Week 2: The Legal Foundations of Corporate Governance
Week 3: Politics and Culture as Drivers of Corporate Governance
Week 4: The UK Corporate Governance Code and the Stewardship Code
Week 5: The Board of Directors (1): Board Diversity
Week 6: The Board of Directors (2): Independent Directors
Week 7: The Board of Directors (3): Board-level Employee Representation
Week 8: The Gatekeepers: Auditors and Corporate Lawyers
Week 9: Shareholder Activism
Week 10: Proxy Advisors

On completion of this course, the student will be able to:
  1. Understand the meaning and relevance of the main concepts and theories of corporate governance
  2. Demonstrate a comprehensive and critical understanding of the role and responsibilities of directors, shareholders and other corporate stakeholders
  3. 3. Analyse the effects of corporate scandals and crises on corporate governance codes and principles of good practice
  4. Demonstrate key research, writing and communication skills
